Referral Program Terms of Service

Effective date: May 15, 2025

Thank you for registering as a member of the Paxful Referral Program (hereinafter referred to as the "Referral Program" or "Program"). The information that you provided to Paxful as part of the registration process will be stored and handled by Paxful in accordance with the European Union's General Data Protection Regulation ("GDPR"). Paxful's GDPR-compliant Privacy Policy was accepted by you as part of the Referral Program registration process.

For purposes of this Program, a Referrer is an individual who introduces new users to the Paxful Marketplace through a unique link provided to Referrer under this Program, while a Referee is an individual who accesses and registers on the Paxful platform by using the unique registration link provided to the Referrer by Paxful.

By continuing to use the Paxful website (whether as a Referrer or otherwise), you will be deemed to have agreed to and accepted the Privacy Policy, including as it may from time to time hereafter be amended, supplemented, or otherwise altered. The current version of our Privacy Policy can be accessed from the homepage of this site or by clicking this link: https://paxful.com/privacy-notice. For the avoidance of doubt, please be aware that certain account information may be shared with your Referees as part of your participation in the Referral Program, including but not limited to location details and account activity.

The following are the Terms and Conditions applicable to the Referral Program. Paxful reserves the right (in its sole and absolute discretion and without prior notice) to: (a) change any or all of these Terms and Conditions, at any time and from time to time, including (but not limited to) by changing the commission payout percentages described below, (b) suspend or cancel the Referral Program, and/or (c) suspend or permanently deactivate your Paxful account if you engage in certain conduct as described below.

As a Referrer, you have the opportunity to introduce third parties to the Paxful Marketplace and to earn commissions based on their trades made on our platform. Paxful reserves the right to issue Referrer commissions in BTC or any other asset of its choosing.

The Referral Program Structure:

The Referral Program shall grant users (or "Referrers") commissions solely for trades conducted by their direct referrals, as described below.

When a third party (or a "Referee") registers on the Paxful Marketplace using the unique registration link provided by Paxful to the referrer upon the Referrer's registration in the Referral Program, the Referrer will receive a commission from the Referee's subsequent trades. No additional rewards or commissions shall be provided for trades made by the referrals of the Referees.

This Referral Program Structure shall be valid for a period of twelve (12) months, commencing from the date of the referee's successful completion of the ID verification process.

Commissions payable.

Unless otherwise agreed to by Paxful, you will earn up to twenty-five percent (25%) of the escrow fee collected from the trade involving your referred user. A trade refers to a completed "Buy" or "Sell" transaction on the Paxful Marketplace.

In instances wherein both parties in the trade are referrals by different referrers, the referrers will split the twenty-five percent (25%) commission equally, thus, each referrer will be given 12.5% of the escrow fee.

If you are trading directly with your referral, you will not earn any reward or commission from that trade.

As you know, Paxful charges an Escrow Fee in connection with each trade completed on its platform. The Escrow Fee is subject to change by Paxful at any time and from time to time. Your commission earned in connection with the transaction as described above will typically be credited to your Referral Wallet promptly upon such transaction's successful completion. When a transaction is completed successfully, Paxful may send you a confirmation email or notify you in any other means allowed by the Paxful User Agreement.

Withdrawing Your Commissions.

You can withdraw your commissions from your Referral Wallet any time as long as you withdraw a minimum amount of US$10 worth of Bitcoin in every withdrawal. This amount will be based on the current value of Bitcoin at the time of each withdrawal.

You agree to promptly keep us updated if any of the identification information you provided changes. You authorize us to make inquiries, whether directly or through third parties, that we consider necessary to verify your identity or protect you and/or us against fraud or other financial crime, and to take action we deem necessary, including confiscation of your rewards or commissions, based on the results of such inquiries. When we carry out these inquiries, you acknowledge and agree that your personal information may be disclosed to credit reference and fraud prevention or financial crime agencies and that these agencies may respond to our inquiries in full.

Furthermore, you agree that in the event of a breach of this Program's Terms and Conditions, and the commission of any illegal or prohibited acts, including but not limited to those enumerated below, any commissions earned through the Referral Program will be automatically forfeited, and Paxful shall confiscate these commissions.

Prohibited Actions

The following is a representative (but not exhaustive) list of the kinds of conduct and practices that could cause Paxful (as determined by Paxful at its sole and absolute discretion ) to (a) cancel or reclaim payment of your then-earned (whether withdrawn or not) commissions, and/or (b) suspend or permanently deactivate your Referral and Paxful account(s).

Using spam to attract parties to the Paxful platform.
Creating additional accounts on the Paxful platform that benefit from the Paxful Referral Program in any form.
- You are only allowed to have one account and are not allowed to sell, borrow, share or otherwise make available your account or any details necessary to access your account to people or entities other than yourself. Creating false information for your account, falsifying your country of origin or providing fraudulent identification documents is strictly prohibited.
Any breach or violation by you or your representatives of any of your obligations under these Terms and Conditions.
Disparaging, libeling, or defaming (a) Paxful or any of its directors, officers, employees, contractors, agents, or representatives, or (b) users of the Paxful platform, including other members of the Referral Program.
Engaging in any activities that Paxful believes (in its sole and absolute judgement) could subject it to legal, regulatory, or prosecutorial scrutiny under the laws, rules, or regulations of any nation, multinational body (including the European Union), or other jurisdiction or governmental authority including, but not limited to illegal gambling, fraud, money laundering, or terrorist activities.
Engaging in illegal activities of any kind, including but not limited to fraudulent and deceitful acts, whether or not related to your use of Paxful's platform and services.
Representing to be an employee, contractor or otherwise paid individual of Paxful or any of its affiliates.
Providing false, inaccurate, or misleading information.
Providing false, inaccurate, or misleading identity and address verification information.
Encouraging or inducing any third party to engage in any of the activities prohibited under this Section.

Intellectual Property Rights

Unless otherwise indicated by us, all intellectual property rights in the Website and in any content provided in connection with our services, are the property of Paxful or our licensors or suppliers and are protected by applicable intellectual property laws. We do not give any implied license for the use of the contents of the Website. You may not sell or modify the Website materials or reproduce, display, publicly perform, distribute or otherwise use the materials in any way for any public or commercial purpose. Your use of the materials on any other website or on a file-sharing or similar service for any purpose is prohibited.

Use of the words "Pax," "Paxful," or any similar terms, marks, or designations that Paxful considers confusingly similar to its trademark "PAXFUL" in any advertising, media, or information that you create, distribute, or control is prohibited. This includes, but is not limited to, text, images, logos, or other branding materials. You are prohibited from presenting these materials as your own or implying any ownership or affiliation with Paxful beyond the scope of this Referral Program.

You may not copy any material or content contained on the Website or accessible through the Website without our written permission. Any rights not expressly granted herein to use the materials contained on the Website are reserved by Paxful in full.

Limitation of Liability/Disclaimer

This site and the Referral Program are provided on an "as is" and "as available" basis for your information and use without any representation or endorsement. To the maximum extent permitted by applicable law, we make no warranties of any kind, whether express or implied, in relation to the site or the Referral Program, including but not limited to, implied warranties of satisfactory quality, functionality, fitness for a particular purpose, non-infringement, compatibility, security, accuracy, condition or completeness, or any implied warranty arising from course of dealing or usage or trade.

If and to the maximum extent permitted by applicable law, we will not be liable for:

Any economic losses (including without limitation loss of revenues, profits, contracts, business or anticipated savings);
Any loss of goodwill or reputation;
Any special or indirect or consequential losses, however arising.

Indemnity and Hold Harmless

You agree to hold harmless Paxful and the Company (and each of our officers, directors, members, employees, agents, duly authorized representatives, and affiliates) from any claim, demand, action, damage, loss, cost or expense, including without limitation reasonable legal fees, arising out or relating to: your use of, or conduct in connection with, our Referral Program; or your violation of these Terms and Conditions. In addition, you agree to be fully responsible for (and fully indemnify us against) all claims, liability, damages, losses, costs and expenses, including legal fees, suffered by us and arising out of or related to any breach of the Terms and Conditions by you or any other liabilities incurred by us arising out of your use of the services and the Referral Program, or use by any other person accessing the services using your user account, device or internet access account; or your violation of any law or rights of any third party.

General

These Terms and Conditions and your use of the Website and Referral Program shall be governed by and construed in accordance with Panamanian Law. Any dispute arising in connection with these Terms and Conditions or your use of the Website or Referral Program will be resolved exclusively in the courts of the Republic of Panama . If any part of these Terms and Conditions is held by any court of competent jurisdiction to be invalid or unenforceable in whole or in part, the validity or enforceability of the other sections of these terms and conditions shall not be affected. Any headings contained in these Terms and Conditions are for informational purposes only and are not enforceable provisions of these Terms and Conditions.

Furthermore, Paxful reserves the right to modify or amend these Terms and Conditions at any time. Any changes will be posted on Paxful's website and such changes shall become effective immediately upon posting. It is the responsibility of the participant or user to regularly review the Terms and Conditions for any updates.
